No, just ask someone else, it's a much better idea than messing with weird situations and making them weirder. Besides, after your prom, you'll never see half these people again, everyone gets a terrible job, grows old and regrets everything they ever did. So don't be stressing over it

First thing first, though - I don't get the whole "legality" thing. When I was 14, my boyfriend was 18. When I was 16, I went out with a 21 year old. I never got into any trouble - at all. The only way that could happen is if someone decides to be an asshole and report this situation you're talking about. And if you did something like that, this girl would totally hate you.

I wouldn't even attempt to ask her out. Why? Well, for starters, it seems like you're only into this idea because the guy would "never know." And believe me, babe, he'll find out. Second of all, if she's truly happy with this guy, she'll probably get offended that you'd even bring it up. Wait until she hits on you, and go from there. If she doesn't, don't waste your time going to the prom and just get drunk. It'll be great.
